Lamina end user licence agreement (EULA)

1. Agreement

This End User Licence Agreement governs your download, installation, activation and use of the Lamina macOS application.

The agreement is between you and:

By downloading, installing, activating or using Lamina, you agree to this End User Licence Agreement.

If you do not agree, do not install or use the application.

The payment transaction may be processed by Lemon Squeezy as Merchant of Record. Lemon Squeezy’s Buyer Terms govern the checkout and payment transaction. This End User Licence Agreement governs the licence granted to use Lamina.

2. Licence grant

Subject to this agreement, you receive a limited, non-exclusive, non-transferable and revocable licence to install and use Lamina.

A Lamina Pro licence may be activated on up to three Macs owned or controlled by the purchaser.

The licence may be used for personal work and internal commercial or professional work.

A licence purchased for a company or organisation may be assigned to one individual user. Each additional user requires a separate licence unless a separate team or volume-licence arrangement has been agreed in writing.

The licence does not transfer ownership of Lamina or any intellectual-property rights to you.

3. Free version and trial

Lamina may include a free version with a limited feature set.

New installations may include a 14-day trial during which Pro features can be evaluated without providing payment information.

When the trial ends, the Pro features may be disabled while the free features remain available.

Trial periods may not be repeatedly reset, manipulated or circumvented.

4. Lamina Pro licence

Lamina Pro is offered as a one-time purchase unless otherwise clearly stated at checkout.

The purchase grants the licence described in this agreement. It does not constitute the sale of the software, source code, trademark or other intellectual property.

The price and currency shown during checkout apply to the purchase.

5. Activation and devices

A valid licence key and an internet connection are required to activate Lamina Pro.

Activation creates a licence instance associated with the relevant Mac. A device label may be transmitted to the licence provider to help identify activated devices.

You may deactivate a licence on a Mac and activate it on another compatible Mac, subject to the activation limit and reasonable technical restrictions.

You must keep your licence key confidential and must not publish it, sell it, share it publicly or make it available to unrelated third parties.

You are responsible for activities performed using your licence key unless the key was used without your knowledge and you notify us promptly.

6. Updates and compatibility

Updates made available for the current major version of Lamina may be provided without an additional licence fee.

The purchase does not guarantee:

  • a specific number of future updates;

  • development for an unlimited period;

  • free access to future major versions;

  • compatibility with every future macOS version; or

  • the addition of specific requested features.

We may release a future major version as a separate paid upgrade.

We may stop supporting older Lamina or macOS versions where this is reasonably necessary for security, compatibility or technical maintenance.

7. Permitted use

You may use Lamina to compare, inspect and measure visual material for which you have the necessary rights or lawful permission.

You remain responsible for:

  • the content you open or capture;

  • compliance with copyright, confidentiality and data-protection obligations;

  • ensuring that screen captures are legally permitted;

  • maintaining backups of important files; and

  • checking the accuracy and suitability of measurements for your intended purpose.

8. Restrictions

Except where mandatory law expressly permits otherwise, you may not:

  • copy or distribute Lamina other than as necessary for permitted installation;

  • resell, rent, lease, sublicense or commercially redistribute the licence;

  • share one licence among multiple unrelated users;

  • publish or disclose a licence key;

  • modify, translate or create an unauthorised derivative version of Lamina;

  • reverse engineer, decompile or disassemble Lamina;

  • bypass or manipulate licence activation, trial restrictions or technical protection measures;

  • use Lamina to violate intellectual-property, privacy or other legal rights;

  • use Lamina to introduce malicious code or interfere with another system; or

  • represent that Lamina or its intellectual property belongs to you.

Restrictions on reverse engineering do not apply to the extent that such activity is expressly permitted by mandatory law and cannot legally be excluded.

9. Your content

You retain all rights in images, screenshots and other content processed using Lamina.

This agreement does not grant us ownership of your content.

Lamina’s local processing does not give us access to your opened images, screenshots, measurements, guides or annotations.

10. Third-party components and services

Lamina may use third-party or open-source software components. Such components remain subject to their applicable licences and notices.

Lamina may connect to third-party services for update checks, configuration retrieval and licence management. Availability of these external services is outside our complete control.

Your use of external purchasing or payment services is also subject to the relevant provider’s terms and privacy policy.

11. Support

Reasonable support is available through hello@lamina-app.com.

Unless separately agreed in writing, no guaranteed response time, uninterrupted support period or service-level commitment is provided.

Support may require information about the Lamina version, macOS version, licence status and the problem encountered. You should not send confidential screenshots or sensitive information unless it is necessary and you are authorised to do so.

12. Refunds

Eligible purchases are covered by the separate Lamina Refunds and Right of Withdrawal Policy.

When a full refund is issued, the associated Lamina Pro licence terminates and the licence key may be deactivated.

13. Termination

This licence remains valid until terminated.

You may terminate it at any time by ceasing use of Lamina and deleting the application from your devices.

We may terminate or suspend the licence if you materially breach this agreement, misuse a licence key, circumvent activation restrictions or use Lamina unlawfully.

Where reasonably possible, you will be given an opportunity to remedy a non-serious breach before termination.

Upon termination, you must stop using Lamina Pro and remove any unauthorised copies.

Provisions concerning intellectual property, restrictions, liability and dispute resolution survive termination where their nature requires it.

14. Software performance and warranty

Lamina is provided for visual comparison, overlay and design-inspection purposes.

Lamina is not designed or certified for safety-critical, medical, construction, scientific, industrial or engineering measurements where inaccurate results could cause injury, property damage or substantial financial loss.

Although we aim to provide reliable software, no software can be guaranteed to operate without errors, interruptions or compatibility problems.

To the maximum extent permitted by law, Lamina is provided “as is” and “as available”, without guarantees that it will meet every individual requirement or remain compatible with every hardware, application or future macOS release.

Nothing in this agreement excludes statutory warranties or consumer rights that cannot legally be excluded.

15. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental or consequential losses, loss of profit, loss of business, loss of opportunity or loss of data arising from the use or inability to use Lamina.

You are responsible for maintaining appropriate backups and for verifying measurements or visual comparisons before relying on them in production or professional work.

Where liability may legally be limited, our aggregate liability arising from the Lamina licence will not exceed the amount you paid for the affected licence.

These limitations do not apply to liability that cannot legally be excluded or limited, including liability resulting from intentional misconduct or gross negligence.

16. Mandatory consumer rights

Nothing in this agreement restricts rights granted to consumers by mandatory law.

Where a provision conflicts with mandatory consumer law applicable in your country, the mandatory law takes precedence and the remaining provisions continue to apply.

17. Applicable law and jurisdiction

This agreement is governed by Swiss law, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.

The courts at the domicile of Vale Florea have jurisdiction, except where mandatory consumer law gives you the right to bring or defend proceedings in another competent court.

18. Severability

If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions remain in effect.

The invalid provision will be interpreted or replaced as closely as legally possible to reflect its original purpose.

19. Changes to this agreement

We may update this agreement for future Lamina versions where necessary because of changes to the software, licence system, service providers or applicable law.

Material changes will not retroactively remove essential rights already granted under a paid licence unless required by law.

The version supplied or made available with the relevant Lamina release applies to that release.
