Lamina end user licence agreement (EULA)

1. Definitions

“Lamina”, “the App” and “the software” mean the Lamina macOS application provided by Vale Florea.

“Lamina Free” means the feature-limited version that remains available without a paid licence.

“Lamina Pro” means the paid feature set unlocked by a valid Lamina Pro licence key. Lamina Pro is not a separate application.

“Website” means the website available at lamina-app.com. It does not mean the Lamina macOS application.

“Licence holder” means the person to whom a paid, beta or complimentary licence key was issued.

References to Lamina include Lamina Free and Lamina Pro unless a section expressly refers only to one version.

2. Agreement and parties

This End User Licence Agreement governs the download, installation, activation and use of Lamina.

The purchase of Lamina Pro is made from Lemon Squeezy, acting as Merchant of Record and authorised reseller. Lemon Squeezy handles the checkout, payment, invoice, applicable indirect taxes, refunds, fraud prevention and chargebacks.

The right to use Lamina is granted by Vale Florea under this Agreement. Lemon Squeezy’s Buyer Terms govern the purchase transaction.

By downloading, installing, activating or using Lamina, you agree to this Agreement. If you do not agree, do not install or use the App.

3. Paid licence

The Lamina application itself is available as a free download from the Website.

A purchase of Lamina Pro does not provide a separate application file. It provides a licence key that unlocks the Pro features in the downloaded App. Lemon Squeezy sends the licence key to the email address used during checkout.

A Lamina Pro licence is a one-time purchase. It is not a subscription.

The price shown during checkout applies to the purchase. Temporary promotional prices do not change the scope or duration of the licence.

A paid licence key has no scheduled expiry date. The licence remains valid until it is terminated under this Agreement.

The purchase grants a right to use Lamina Pro. It does not transfer ownership of the App, source code, name, icon or other intellectual property.

4. Licence grant

Subject to this Agreement, the licence holder receives a personal, limited, non-exclusive and non-transferable licence to install and use Lamina Pro.

A paid Lamina Pro licence may be active on up to three compatible Macs at the same time. Those Macs must be owned or controlled by the licence holder.

The licence may be used for personal, commercial and professional work.

A licence bought by a company or organisation may be assigned to one individual user. It may not be shared between several users unless a separate team or volume-licence arrangement has been agreed in writing.

Each additional user requires a separate licence.

5. Trial and Lamina Free

A new installation includes a 14-day trial of all Lamina Pro features.

No account or payment information is required for the trial.

When the trial ends, the App automatically returns to Lamina Free. Lamina Free may continue to be used without a time limit. It does not add a watermark. Only the Pro tools are locked.

The trial may not be reset, manipulated or repeatedly recreated by bypassing technical restrictions.

6. Licence key delivery and activation

After purchase, Lemon Squeezy sends the licence key to the email address used during checkout.

The licence key can be entered in the App under Lamina › Licence…

An internet connection is required for the initial activation.

During activation, Lamina sends the following information to Lemon Squeezy:

  • the licence key; and

  • the computer name assigned in macOS System Settings, used as the label for that activation.

The computer name is chosen by the user and may contain a personal name, for example “Anna’s MacBook”.

Lamina does not send a hardware identifier, serial number or usage data during activation.

Lemon Squeezy returns an instance ID for the activation. This instance ID is stored locally in license.json in Lamina’s application configuration folder.

7. Licence validation and offline use

After activation, Lamina can continue to work offline.

When the App starts and an internet connection is available, it checks with Lemon Squeezy whether the licence and the activated instance are still valid. For this check, Lamina sends the licence key and the locally stored instance ID.

If no connection is available, no validation request is made. Lamina uses the last known licence status. There is no requirement to remain permanently online and no Lamina account is required.

A licence that has been refunded, blocked or terminated does not remain valid merely because a Mac is kept offline.

8. Deactivating a Mac and releasing an activation

The licence holder can release an activation on the current Mac by choosing Deactivate on this Mac in Lamina’s licence window.

Releasing an activation makes one of the three available activations available again.

If a previously activated Mac is lost, stolen, sold, defective or otherwise no longer accessible, the licence holder can request that the affected activation be released by emailing hello@lamina-app.com.

Where the request can be matched to a valid licence and does not appear abusive, the activation will be released within a reasonable period.

This support option does not create a right to unlimited, repeated or abusive activation resets.

9. Licence-key confidentiality and prohibited sharing

A licence key is issued to a specific licence holder and is linked to the corresponding order.

The licence holder must keep the key confidential.

The following are prohibited:

  • giving or lending the key to another person;

  • selling, transferring or sublicensing the key;

  • publishing the key on a website, forum, repository, file-sharing service or social network;

  • distributing the key privately or publicly;

  • sharing one licence between unrelated users;

  • bypassing or manipulating activation limits; and

  • using technical measures to prevent a refunded, blocked or terminated licence from being validated.

The licence service records the computer name used for an activation and the time at which an activation is created or released. The licence key is associated with its purchase record.

If a key is shared, published, sold or otherwise misused, Vale Florea may block or terminate the key without a refund. Legal action may also be taken where appropriate.

Nothing in this section prevents the lawful transfer of a licence where such transfer cannot be prohibited under mandatory law.

10. Refunds and termination of the Pro licence

Eligible purchases are covered by the separate Refunds and Rights of Withdrawal policy.

When a full refund is issued:

  • the right to use Lamina Pro ends;

  • the licence key becomes invalid;

  • the Pro licence may no longer be activated or used; and

  • the licence holder may continue using Lamina Free.

At the next App start with an internet connection, Lamina will detect the invalid licence and return to Lamina Free.

The change to Lamina Free does not delete the user’s files or intentionally make the App unusable.

A refunded customer has no right to keep using an already activated copy of Lamina Pro, including by preventing the App from validating the licence.

11. Beta, testing and complimentary licences

A beta, testing, review or complimentary licence is provided without payment unless expressly agreed otherwise.

Unless the licence states otherwise, a beta licence permits one active Mac.

Such a licence:

  • is personal and non-transferable;

  • may not be shared, published, sold or distributed;

  • does not create a purchase contract;

  • does not guarantee any particular feature set, availability, support period or future release;

  • may be changed, suspended or withdrawn at any time; and

  • may be revoked without compensation.

The restrictions and consequences in the licence-key confidentiality section also apply to beta, testing and complimentary keys.

To the maximum extent permitted by law, beta and pre-release versions are provided for evaluation without warranties.

If a tester voluntarily provides comments, suggestions or ideas about Lamina, Vale Florea may use and incorporate that feedback without payment or other obligation. This does not transfer ownership of the tester’s own work or content and does not permit the public use of the tester’s name without permission.

12. Updates and compatibility

Updates made available for the current major version may be provided without an additional licence fee.

The purchase does not guarantee:

  • a particular number of future updates;

  • development for an unlimited period;

  • free access to future major versions;

  • support for every future macOS version or Mac model; or

  • the addition of a requested feature.

A future major version may be offered as a separate paid upgrade.

Support for older versions may end where reasonably necessary for security, compatibility or technical maintenance.

13. Permitted use and user responsibility

Lamina may be used to overlay, compare, inspect, measure and annotate visual material for which the user has the required rights or lawful permission.

The user remains responsible for:

  • the images and screen content opened or captured;

  • compliance with copyright, privacy, confidentiality and data-protection duties;

  • ensuring that a screen capture is lawful;

  • keeping backups of important files; and

  • checking whether measurements and visual comparisons are suitable for the intended purpose.

14. Other restrictions

Except where mandatory law expressly permits otherwise, the user may not:

  • copy or distribute Lamina except as required for permitted installation;

  • rent, lease, sublicense or commercially redistribute the App;

  • modify or create an unauthorised derivative version;

  • reverse engineer, decompile or disassemble the App;

  • bypass the trial, licence activation or other technical protection measures;

  • use Lamina to violate the rights of another person;

  • use Lamina to introduce malicious code or interfere with another system; or

  • claim ownership of Lamina or its intellectual property.

Restrictions on reverse engineering do not apply where and to the extent that mandatory law expressly permits the activity.

15. User content and local processing

The user retains all rights in images, screenshots and other content processed using Lamina.

This Agreement does not grant Vale Florea ownership of that content.

Lamina’s local processing does not give Vale Florea access to the user’s opened images, captured screen content, measurements, guides or annotations.

16. Third-party services and components

Lamina may use third-party or open-source components. Those components remain subject to their applicable licences and notices.

The App connects to third-party services only for functions described in the Privacy Policy, including update checks, limited configuration retrieval and licence management.

The availability of third-party services is outside the complete control of Vale Florea.

17. Support

Reasonable support is available through hello@lamina-app.com.

Unless separately agreed in writing, no guaranteed response time, uninterrupted support period or service-level commitment is provided.

Support may require information about the Lamina version, macOS version, licence status and the problem encountered.

Users should not send confidential screenshots, passwords, payment credentials or unnecessary sensitive information by email.

18. Termination for breach

The licence holder may end the licence at any time by stopping use of Lamina and deleting the App.

Vale Florea may suspend or terminate a licence if the licence holder materially breaches this Agreement, misuses or distributes a key, circumvents technical restrictions or uses Lamina unlawfully.

Where reasonable, the licence holder may be given an opportunity to correct a non-serious breach before termination. A published or deliberately distributed key may be blocked immediately.

After termination, the user must stop using Lamina Pro. Lamina Free may continue to be used unless the App itself was used unlawfully or continued access must be restricted by law.

Sections concerning intellectual property, licence restrictions, liability and dispute resolution continue to apply after termination where their nature requires it.

19. Software performance and warranty

Lamina is intended for visual comparison, overlay and design-inspection work.

It is not designed or certified for safety-critical, medical, structural, scientific, industrial or engineering measurements where an inaccurate result could cause injury, property damage or substantial financial loss.

No software can be guaranteed to operate without errors, interruptions or compatibility problems.

To the maximum extent permitted by law, Lamina is provided “as is” and “as available”. There is no guarantee that it will meet every individual requirement or remain compatible with every future macOS or hardware release.

Nothing in this Agreement excludes a statutory warranty or consumer right that cannot legally be excluded.

20. Limitation of liability

To the maximum extent permitted by applicable law, Vale Florea is not liable for indirect, incidental or consequential loss, loss of profit, loss of business, loss of opportunity or loss of data arising from the use of or inability to use Lamina.

The user is responsible for keeping appropriate backups and verifying measurements or comparisons before relying on them in production or professional work.

Where liability may legally be limited, the total liability arising from the affected Lamina licence will not exceed the amount paid for that licence.

These limitations do not apply to liability that cannot legally be excluded or limited, including liability arising from intentional misconduct or gross negligence.

21. Mandatory consumer rights

Nothing in this Agreement restricts rights granted by mandatory consumer law.

Where a provision conflicts with mandatory law applicable to the user, the mandatory law takes precedence. The remaining provisions continue to apply.

22. Severability

If a provision is invalid or unenforceable, the remaining provisions continue to apply.

The invalid provision will be interpreted or replaced as closely as legally possible to reflect its original purpose.

23. Changes to this Agreement

This Agreement may be updated for future Lamina versions where necessary because of changes to the App, the licence system, service providers or applicable law.

Material changes will not retroactively remove essential rights already granted under a paid licence unless required by law.

The version supplied or made available with the relevant Lamina release applies to that release.
